What is Trademark Assignment?

Trademark assignment means transferring ownership or rights in a trademark from the existing proprietor (the assignor) to another person or entity (the assignee), subject to the Trade Marks Act, 1999 and Trade Marks Rules, 2017.

Assignment With Goodwill vs Without Goodwill

This distinction matters — assignments without goodwill attract additional statutory requirements under Section 42.

With

Assignment With Goodwill

The business goodwill associated with the trademark is transferred along with the trademark rights, according to the terms of the assignment. This is generally the simpler form of assignment from a statutory perspective, and the deed should clearly state what is being transferred.

Without

Assignment Without Goodwill

Under Section 42, the assignee must apply to the Registrar for directions on advertisement of the assignment within six months of the assignment date, extendable by up to three months in aggregate at the Registrar's discretion.

What Assignment Does Not Automatically Do

Signing a deed does not mean every proposed transfer is automatically accepted by the Registry.
Without goodwill, the transfer cannot simply be recorded without the Section 42 advertisement procedure.
Assignment is not the same as licensing — a licence does not transfer ownership.
No fixed stamp-duty figure applies to every assignment — it depends on state and transaction structure.
Certification and associated trademarks have special assignment rules — they aren't treated like ordinary marks.
